Luis has substantial experience advising companies on mergers and acquisitions, including both stock and asset transactions. His work includes negotiating a $350 million stock sale for an international oil and gas company, as well as structuring acquisitions, drafting and negotiating purchase agreements, managing diligence processes, and coordinating multi-jurisdictional closings.

 

He has represented domestic and international companies across sectors including healthcare technology, software, finance, logistics, hospitality, clean energy, and energy infrastructure. Earlier in his career, he also worked on reverse mergers, IPOs, and private securities offerings under Rule 144A, Regulation S, and Rule 506, giving him a strong understanding of the financing and regulatory frameworks that often accompany complex transactions. Most recently, Luis led an equity-only IP asset acquisition for a healthcare technology company, drafting transaction documents and conducting diligence across source code, software infrastructure, IP chain of title, regulatory history, and background investigations. He has also advised startup founders on equity restructuring, cap table optimization, Section 83(b) election planning, and stock option plan design in preparation for financing rounds.
