Jay Kotzker Managing Partner & Director of Legal Services

As a trusted advisor to brand-driven companies, Jay advises on intellectual property development, licensing, and commercialization, as well as entity formation, contract negotiation, and overall business strategy. His IP practice spans trademark and copyright law, with experience in domestic and international trademark prosecution, brand enforcement, and global portfolio management, including brand protection strategy for a range of consumer packaged goods companies navigating crowded, fast-moving markets.

Jay’s practice has increasingly focused on the intersection of intellectual property and emerging technology. He advises clients on the IP and rights-of-publicity implications of generative AI, including how voice, likeness, and other personhood signals are being protected as artists, brands, and platforms confront AI ingestion and synthetic reproduction.

On the corporate and transactional side, Jay regularly advises founders and investors on early-stage financing structures, including SAFEs, convertible notes, and priced equity rounds, helping clients choose the instrument that fits their stage and long-term cap table strategy. His contract experience spans vendor agreements, licensing deals, SaaS agreements, privacy policies, EULAs, and a broad range of commercial and partnership arrangements.

Jay continues to counsel clients in the regulated cannabis space, drawing on years of hands-on experience as general counsel to two multi-state operators. His cannabis practice includes licensing, compliance, operational strategy, and regulatory engagement at the state and local levels. He also brings a strong background in regulatory compliance, risk management, dispute resolution, and government agency interfacing, including work with the NLRB, OSHA, and state-level regulatory agencies.

Jay writes and speaks regularly on emerging issues in brand protection, IP strategy, and AI governance, and is a frequent contributor to Holon Law Partners’ thought leadership on these topics.
